Terms of Service

Please read these terms carefully before using eBuilding. By accessing our platform, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using the eBuilding platform, website, mobile applications, or any associated services (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, you must immediately cease using the Platform.

Important Notice: These Terms constitute a legally binding agreement. We recommend you print or save a copy for your records.

2. Platform Description

eBuilding is an AI-native construction operating system that connects homeowners, businesses, government entities, suppliers, and contractors across the construction lifecycle. The Platform includes:

B2C Portal — Design, procurement, and project management for homeowners and individual builders.
B2B Portal — RFQ, tender management, bulk procurement, and enterprise workflow tools.
B2G & G2B Portals — Government tender publishing, bid management, and contractor matching.
C2C Marketplace — Peer-to-peer resale of surplus construction materials.
AI Design Studio — Generative design, BOQ estimation, and 3D visualisation.
API Platform — Programmatic access to eBuilding data, pricing, and workflows.

eBuilding reserves the right to modify, suspend, or discontinue any feature of the Platform at any time, with or without notice. We are not liable to you or any third party for such modifications.

3. User Accounts

To access most features of the Platform, you must register for an account. You agree to:

Accurate Information

Provide truthful, current, and complete information during registration and keep it updated.

Account Security

Maintain the confidentiality of your password and notify us immediately of any unauthorised access.

Single Account

Maintain only one personal account unless explicitly permitted by eBuilding for business purposes.

Age Requirement

Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher.

You are responsible for all activities that occur under your account. eBuilding reserves the right to suspend or terminate accounts that violate these Terms or that are inactive for an extended period.

4. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. The following conduct is strictly prohibited:

Prohibited Activities

Posting false, misleading, or fraudulent product listings, bids, or tender submissions.

Attempting to reverse-engineer, decompile, or extract source code from the Platform.

Using automated bots, scrapers, or crawlers to access Platform data without permission.

Engaging in price-fixing, bid-rigging, or any anti-competitive behaviour.

Harassing, threatening, or discriminating against other users or eBuilding staff.

Uploading malware, viruses, or any code designed to disrupt Platform operations.

Circumventing or attempting to bypass any security or access control mechanisms.

Impersonating another person, company, or government body.

Violations may result in immediate account termination, legal action, and reporting to relevant authorities.

5. Intellectual Property

All content, technology, and software comprising the Platform — including but not limited to AI models, algorithms, UI designs, trademarks, logos, and documentation — are the exclusive property of eBuilding Inc. or its licensors, protected by intellectual property laws worldwide.

Your Content

You retain ownership of content you upload. By uploading, you grant eBuilding a non-exclusive, worldwide, royalty-free licence to use, process, and display your content solely for the purpose of providing the Platform services.

Platform Content

You may not reproduce, distribute, or create derivative works from any Platform content without our prior written consent. Limited use for personal, non-commercial purposes is permitted where explicitly stated.

6. Payments & Billing

Certain features of the Platform are available on a subscription or per-transaction basis. By selecting a paid plan or completing a purchase, you agree to the following:

All prices are displayed in the currency applicable to your region and are exclusive of applicable taxes.
Subscriptions are billed in advance on a monthly or annual cycle as selected.
You authorise eBuilding to charge your payment method for all fees incurred.
Refunds are available within 14 days of the initial subscription purchase, subject to usage conditions.
Supplier marketplace transactions are subject to an eBuilding platform commission as disclosed at checkout.
Failure to pay may result in service suspension, late fees, and referral to debt collection.

Pricing may change with 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.

7. Supplier & Vendor Terms

Suppliers and vendors accessing the Platform to list products, respond to RFQs, or participate in tenders are additionally bound by the following:

Listing Accuracy: All product details, pricing, availability, and lead times must be accurate and kept up to date.

Fulfilment Commitment: Accepting an order or bid constitutes a binding commitment to deliver as specified.

Quality Standards: Products must comply with all applicable safety standards, certifications, and regulations.

Non-Circumvention: You may not approach Platform-introduced buyers or sellers outside of eBuilding for 24 months.

Documentation: Suppliers must maintain and provide valid business registration, tax, and certification documents on request.

8. Disclaimers

Important Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

eBuilding does not guarantee that the Platform will be uninterrupted, error-free, or free of viruses. AI-generated designs, BOQ estimates, and material recommendations are provided for informational purposes only and should be independently verified by qualified professionals before use in construction.

We are not responsible for the actions, content, or data of third-party suppliers, contractors, or government bodies on the Platform.

9. Limitation of Liability

To the fullest extent permitted by applicable law, eBuilding Inc. and its directors, officers, employees, and affiliates shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages.
Loss of profits, revenue, business, data, or goodwill.
Damages arising from unauthorised access to your account or data.
Reliance on AI-generated outputs without independent professional verification.
Delays, defects, or disputes arising from third-party supplier or contractor conduct.

Our total aggregate liability to you for any claim arising out of or related to these Terms shall not exceed the greater of (a) the amount you paid to eBuilding in the 12 months preceding the claim, or (b) USD 500.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions.

Any dispute arising from or in connection with these Terms that cannot be resolved amicably shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, administered in London, Western Europe.

International Users

If you access the Platform from a jurisdiction, you are responsible for compliance with local laws. eBuilding makes no representation that the Platform is appropriate or available for use in all jurisdictions.

11. Amendments

eBuilding reserves the right to update these Terms at any time. Material changes will be notified via email or a prominent banner on the Platform at least 14 days before taking effect.

Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must cease using the Platform and may request account closure before the effective date.

The "Last Updated" date at the top of this page reflects the most recent revision. We encourage you to review these Terms periodically.
